Bylaws

 

  • Section 1.) Meetings will be held monthly, on the first Sunday of the month. If this should be a holiday, the meeting will be on the second Sunday of the month. (i.e.: January and July). Open discussions will be 7.00-7:30 p.m. These meetings will be run by Robert's Rules of Order.

     

    Section 2.) An Executive Committee will be formed consisting of:

  • President: To officiate at meetings, keeping them in an orderly fashion, to act as a liaison between the club and others, and delegate training schedule for new pilots.

    Vice President: To assist the President and act in his absence.

    Secretary: To keep accurate minutes of the meetings, handle correspondence, send meeting notices, and chair meetings in the absence of the President and Vice President.

    Treasurer: To keep the checking account and all club records in an accurate and orderly manner pay bills supervise all club funds and require receipts in club name for all payments

    Board Members: Three members in good standing, two of which shall be voted on by the membership during an election of officers. These two members shall hold the Board position for two years. The other member shall be the immediate past President.

  • Any action of the Executive Committee shall be at a meeting at which there shall be 100% the committee members present. Executive Committee meetings will be called by the President.

  • Membership Committee: To handle all publicity; supply prospective members with membership packet and make sure they understand our rules and regulations; and handle recruiting drives.

    Elections: The election of all officers shall occur at the December meeting. Nominations shall be made by the Board at the November meeting, at which time floor nominations may also be made.

    1. All elected officers of FLAPS shall serve for one (1) year from date of election. Officers are to be elected by simple majority of FLAPS members present at the December meeting. New officers will take office immediately after the December meeting.

    2. A secret ballot is required for elections, for removal of a Club officer, a member of the Board of Directors, and for expulsion of a member from the Club unless waived by a simple majority vote of the members present at the meeting.

    3. Vacancies in any office shall be filled by appointment by the remaining Officers, such appointee to serve until the end of the term for which his predecessor was elected.

    Section 3.) Annual dues will start January 1st and end December 31st of each year.

     

    Section 4.) Dues will be:

    • New Members-$48.00 ($9 Initiation fee, $24 Dues, $15 Field Fee)
    • Regular Members-$39.00 ($24 Dues, $15 Field Fee)
    • Senior Members, age 60 or above, $27.00 ($12 Dues, $15 Field Fee)
    • Junior members, under age 19, $1.00

    Dues are payable January 1st through February 29th. Anyone not paid in full by March 1st may be asked to submit a new application with initiation fee and dues paid in advance. The Membership Committee also will review them. A member shall be in arrears and shall not be considered active if his/her dues have not been paid by March 1.

     

    Section 5.) Anyone attending eight out of the twelve monthly meetings will receive $5.00 off the next year dues.

     

    Section 6.) Each member in good standing will receive a membership card. Flying members will be required to hold and maintain a license issued by the AMA. All first-time member applicants, as well as present flying members seeking membership renewal, must show proof of membership in the AMA.

     

    Section 7.) The club will maintain an AMA membership.

     

    Section 8.) All prospective members are to receive a membership packet consisting of: AMA Application, FLAPS Membership Application, FLAPS Bylaws and FLAPS Field Rules (pertaining to our club).

     

    Section 9.) Application shall consist of: Name, Address, Education, Employer, Marital Status, Years In Modeling, Areas Of Participation And Interest, Age, AMA Number (if known), E Mail address (if any), Name Of Sponsor.

     

    Section 10.) Prospective members must attend at least one meeting with sponsor or Membership Committee to be introduced to the membership, at which time they are welcome to ask questions, and the membership may question them. The prospective member will be announced in writing to the membership, to be voted on at the next monthly meeting. The prospective member shall not attend this meeting

     

    Section 11.) New members will serve a one-year probation period. On the first anniversary date of membership the probationary member shall be re-voted on. The probationary member shall not attend this meeting. All other members must be notified in writing of the re-vote meeting.

     

    Section 12.) Senior Membership: Initiation Fee and Dues will be one-half regular membership. Senior membership is available to people’ 60 years of age or older.

    Junior Membership under age 19 is available only with written parental consent. A parent must accompany persons under 14 years of age.

    Any former member, who left in good standing, may be reinstated into the FLAPS by payment of the current year’s dues. The initiation fee is not required.

     

    Section 13.) All major decisions and expenditures over $50.00 shall be approved by a quorum of the membership or the Executive Committee. A quorum shall consist of 31% of membership. Proxy votes are acceptable.

     

    Section 14.) Resignation, Termination, Disciplinary Action, Expulsion and Membership Reinstatement:

    1. Any member in good standing may resign his/her membership by giving written notice to the Club.

    2. In any member ceases to have the qualification necessary for membership in the AMA, his/her membership in the Club shall thereby terminate, subject to reinstatement upon restoration of eligibility.

    3. Section 16 provides for enforcement of the Safety Rules that are related to flying activities. Any other unacceptable behavior by an individual member or members, as defined by the Executive Committee, becomes the responsibility of the Executive Committee. Any individual may be expelled from membership from the Club by a two-thirds (2/3) majority vote of the Executive Committee, if in the Executive Committee’s determination, such individual willfully commits any act or omission which is a violation of any of the terms of these Bylaws or the Rules of the AMA or which is detrimental to the Club, the AMA or model aviation.

    4. Any member who is expelled from membership may be reinstated to membership only by two-thirds (2/3)-majority vote of the Executive Committee.

    The Executive Committee shall have the discretionary authority to provide for and to impose disciplinary action for such acts or omissions, which do not justify expulsion from membership.

     

    Section 15.) To change any Bylaw, a letter must be submitted to the Chair in writing, 60 days prior to the January Annual meeting. The Chair is required to notify all voting members, by mail, of proposed changes 30 days prior to the January Annual meeting so it may be discussed and voted on at this meeting only.

    Section 16.) Grievance Procedure (Flight and Ground Safety Rules), Grievance Form:

    Purpose: The grievance procedure provides a mechanism to enforce existing safety rules by providing a progressive disciplinary system when needed. Although most complaints can be resolved informally, if a complaint is serious or cannot be resolved informally, the matter should be referred to the Safety Committee for its consideration by means of a Grievance Form to be filled out and turned into the Safety Committee Chairman. At least one witness is required to sign the Grievance Form.

    Safety Committee: The Safety Committee, consisting of the Safety Officer, the Field Marshal and the President, shall use its judgement in carrying out action on the following:

    FIRST VIOLATION

    1.Viewpoints of both complainants and accused will be considered.

    2.Complainant’s name will be disclosed.

    3.A verbal reprimand will be given to the accused by the Safety Committee, and this will be recorded in the Committee files.

    SECOND VIOLATION

    1. Complainant’s name will be disclosed.
    1. 2. The accused has the right to a written rebuttal, to be reviewed by the Committee.

      3. If the Committee so decides, the flying privileges of the accused will be suspended for thirty (30) days. Written notice of this shall be issued and a copy published in the Club newsletter or minutes.

    THIRD VIOLATION

    1. Committee will notify the accused in writing and the Club members via the Club newsletter or minutes that the Club will vote on the expulsion of the accused at the next meeting.
  • 2. Said expulsion will last for a one-year minimum (Longer if deemed necessary by the Executive Committee).

    3. A member may be expelled form the Club only upon a two-thirds (2/3)-majority vote of the membership present at the meeting.

    4. Voting will be by secret ballot at a regular monthly meeting.

    5. The expelled member may reapply for membership after the expiration of the expulsion time period.

    6. The three actions will not be enforced unless they are accumulated within a two-year period of time.

    7. Any member receiving a Grievance, who directs any retaliation action against the person filing said Grievance, will be subject to immediate expulsion form the Club. This is to include treats, intimidation, physical harm, intentional equipment damage, or any other action deemed to be retaliatory by the Executive Committee.

    Section 17.) Dissolution:

    The FLAPS may be dissolved with the approval of a two-thirds (2/3)-majority vote of the total membership.

    Upon the dissolution of FLAPS, the Executive Committee shall, after paying or making provision for the payment of all of the liabilities of the Club, dispose of all the assets of the Club exclusively for the purposes of the Club in such manner, to the Academy of Model Aeronautics, Inc. or to such other organizations organized and operated exclusively for charitable, educational, religious or scientific purposes similar to the purposes of this Club, as the Committee shall determine. Any of such assets not so disposed of shall be disposed of by the Court of Common Pleas (or Similar Court) of Ontario County.
